Terms & Conditions
Introduction
These terms and conditions govern the use of the services provided by the Blacky (hereinafter referred to as "Agency"). By using the services provided by the Agency, you agree to be bound by these terms and conditions.
Services
The Agency provides a variety of digital services, including but not limited to website design, development, digital marketing, and social media management. The specific services provided will be outlined in the contract between the Agency and the client.
Payment
Payment for the services provided by the Agency will be outlined in the contract between the Agency and the client. The client agrees to pay the Agency in full for all services rendered within the timeframe specified in the contract.
Intellectual Property
All work produced by the Agency, including but not limited to designs, code, and content, remains the property of the Agency until full payment for the services has been received by the Agency. Upon full payment, the client will be granted a license to use the work produced by the Agency.
Confidentiality
The Agency agrees to keep all information provided by the client confidential and will not share or disclose any such information to any third party without the express written consent of the client.
Warranty
The Agency warrants that the services provided will be performed in a professional and timely manner. However, the Agency does not warrant that the services will be error-free or uninterrupted.
Limitation of Liability
The Agency's liability to the client for any damages arising out of or in connection with the services provided by the Agency shall not exceed the total amount paid to the Agency by the client.
Governing Law
These terms and conditions shall be governed by and construed in accordance with the laws of the jurisdiction in which the Agency is based, without giving effect to any principles of conflicts of law.
Dispute Resolution
Any dispute arising out of or in connection with these terms and conditions, or the services provided by the Agency, shall be resolved through binding arbitration in accordance with the rules of Indian laws.
Entire Agreement
These terms and conditions constitute the entire agreement between the client and the Agency with respect to the use of the services provided by the Agency.
Third-Party Vendors
The Agency may engage third-party vendors or contractors to perform certain services on behalf of the client. The Agency will take all reasonable steps to ensure that these third-party vendors or contractors provide services that are of comparable quality to those provided by the Agency. However, the Agency will not be responsible for any failure of these third-party vendors or contractors to fulfill their obligations.
No Responsibility for Payment
The client agrees that the Agency will not be responsible for any payment or compensation for services provided by third-party vendors or contractors engaged by the client. The client will be solely responsible for making any payment or compensation to these third-party vendors or contractors for their services.
